This guide outlines the process for transferring ownership of an Amazon FBA business on the Silky Road platform, ensuring buyers and sellers comply with Amazon’s policies for a smooth and secure transaction.
Transferring an Amazon FBA business requires careful planning and adherence to Amazon’s policies. This guide covers key considerations, regulations, and steps to facilitate the transfer while minimizing disruptions.
Amazon generally prohibits transferring seller accounts, but updates to ownership details (e.g., legal entity changes) may be allowed for mergers or acquisitions.
Non-transferable elements:
Seller performance history (tied to the account).
Customer reviews (tied to product listings, not the account).
What Can Be Transferred?
Trademark Ownership: Transferred via legal documentation.
Inventory: Stock at FBA can be reassigned or shipped to a new account.
GS1 Barcodes & Product Listings: Reassigned to the new owner’s account.
Draft and sign a purchase agreement specifying brand ownership, inventory, and access rights.
Ensure the buyer understands Amazon’s restrictions on seller account transfers.
If the business is sold as a legal entity transfer, the seller informs Amazon to update Seller Central details.
If approved, the seller updates the legal entity, and the buyer assumes control of the account’s assets, updating tax and payment details.
The seller adds the buyer as an Administrator or Rights Owner in Brand Registry.
The buyer submits a brand ownership update request to Amazon with proof of purchase.
Name: [Full Name]
Amazon updates ownership (may take several days). The seller then removes themselves from the Brand Registry.
Amazon does not permit direct inventory transfers between accounts.
The seller creates a removal order to ship inventory to the buyer.
The buyer sends received stock to FBA under their account or purchases fresh inventory from the supplier.
Amazon Denies Seller Account Transfer
Solution: Clearly outline the request as an update to legal ownership details.
Inventory Transfer Delays
Solution: Initiate removal orders early (allow 10–14 days). Consider a third-party logistics provider (3PL) for interim storage.
Loss of Brand Control Post-Transfer
Solution: Ensure the buyer is assigned Administrator, Rights Owner, and Brand Representative roles before the seller removes themselves. Request Amazon’s written confirmation.
Buyer’s New Account Flagged as Related
Solution: Buyer applies for a second account with Amazon’s prior approval.
Amazon Flags New Account as Duplicate
Solution: Contact Amazon before opening a new account to ensure compliance.
